1. Program Overview

NumberOTP operates a platform that provisions virtual phone numbers capable of receiving SMS for one-time-password (OTP) and account-verification purposes, sourced through multiple upstream telecom/SMS providers. The Reseller Program lets you ("Reseller", "you") purchase activation capacity at wholesale pricing and resell it to your own end customers — directly, through your own branded platform, or both.

This page is the agreement that governs your use of the Reseller Program. By topping up a reseller Buying Balance, accepting a reseller invitation, or otherwise using reseller features on NumberOTP ("Company", "we", "us"), you agree to be bound by these terms.

2. Definitions

  • Service — the NumberOTP platform, API, and virtual number/SMS-verification capacity made available to Reseller.
  • Buying Balance — the prepaid wallet balance Reseller maintains with Company, drawn down as Reseller or its Sub-Users consume the Service.
  • Sub-User — an end customer or account created by Reseller under its own reseller hierarchy within the Service, including any API keys issued to such accounts.
  • Earned Balance — commission or margin credited to Reseller's account when a Sub-User funds its own balance directly (self-funding).
  • API — Company's documented application programming interface, including reseller-specific and reseller-public endpoints.

3. Appointment & Relationship

Company grants Reseller a non-exclusive, non-transferable, revocable right to purchase Service capacity at wholesale pricing and resell it to Reseller's own end customers. This does not create a partnership, joint venture, franchise, or agency relationship. Reseller acts as an independent party and sells to its own customers in its own name and at its own risk, unless Reseller elects to operate under Company's white-label branding.

4. Account, Balance & Pricing

  • The Service operates on a prepaid Buying Balance. Reseller must maintain sufficient balance to cover requested activations; the Service does not extend credit.
  • Reseller may top up via card or supported cryptocurrency, subject to a minimum top-up amount shown on the reseller dashboard.
  • Reseller's cost per activation is set by Company's wholesale price list, which may vary by service, country, and loyalty tier, and may change from time to time with notice via the dashboard or email.
  • Reseller is solely responsible for the retail price it charges its own customers, including any markup configuration in the reseller dashboard.
  • Where self-funding is enabled for a Sub-User, that Sub-User may top up its own balance directly; Company credits an Earned Balance to Reseller's account per the margin mechanics in effect at the time of payment.

5. Refunds & Non-Refundable Payments

Automatic delivery refund. If no SMS is received within an activation's validity window, the cost is automatically credited back to the relevant Buying Balance.

Card top-ups. Unused Buying Balance funded by card may be refundable within 14 days of the top-up — see our Refund Policy for full conditions.

Cryptocurrency top-ups are final. Any Buying Balance funded via cryptocurrency is strictly non-refundable under any circumstances — overpayment, underpayment, wrong network, wrong address, expired invoice, or duplicate payment included. Blockchain transactions are irreversible; Company cannot reverse, cancel, or recover a crypto payment once broadcast, and bears no liability for funds lost due to Reseller's or its Sub-Users' error. This risk is solely the payer's own. Reseller must communicate this clearly to any Sub-User it permits to self-fund via crypto.

Chargebacks. Reseller must not initiate a chargeback without first contacting Company support. A chargeback or payment dispute may result in immediate account suspension and forfeiture of the disputed balance.

6. Sub-Users, API Access & Branding

Reseller may create Sub-User accounts and issue Sub-User API keys through the reseller dashboard/API, and is responsible for all activity conducted through them as though conducted by Reseller itself, including ensuring its Sub-Users comply with the Acceptable Use Policy.

Where white-label branding is available (brand name, color, custom signup URL, webhook URL), Reseller may configure a branded experience for its Sub-Users. Company's use of any Reseller brand assets is solely to render that configuration back to Reseller's own Sub-Users and confers no other license.

Reseller must keep its API keys and webhook secrets confidential and is responsible for any use or misuse resulting from a failure to do so.

7. Acceptable Use

Reseller shall not, and shall ensure its Sub-Users do not, use the Service for any purpose prohibited by Company's Acceptable Use Policy, including fraud, spam, bulk account creation on third-party platforms in violation of those platforms' terms, evasion of law-enforcement or regulatory verification, or any unlawful purpose. Company may suspend or terminate access immediately, without prior notice, on reasonable suspicion of a breach of this section.

8. Confidentiality

Each party agrees to keep confidential any non-public business, technical, or pricing information disclosed by the other in connection with the Reseller Program, and to use it solely to perform its obligations. This survives termination for two (2) years, and indefinitely for API keys, webhook secrets, and end-customer personal data.

9. Intellectual Property

Each party retains all right, title, and interest in its own trademarks, software, and platform. Nothing here transfers ownership of any intellectual property between the parties. Reseller may not reverse-engineer, decompile, or attempt to derive the source code of the Service.

10. Warranties & Disclaimers

The Service depends on third-party telecom and SMS carrier infrastructure that Company does not control. Company targets high availability but does not guarantee the availability of any specific service, country, or number pool at any given time. Except as expressly stated, the Service is provided "as is" and "as available", without warranties of any kind, express, implied, or statutory, including merchantability, fitness for a particular purpose, or non-infringement.

11. Limitation of Liability

To the maximum extent permitted by applicable law, neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, or data, arising out of the Reseller Program. Company's total aggregate liability to Reseller shall not exceed the amount actually paid by Reseller to Company in the three (3) months immediately preceding the event giving rise to the claim.

12. Indemnification

Reseller shall indemnify, defend, and hold harmless Company from claims, damages, liabilities, and reasonable expenses (including legal fees) arising from: (a) Reseller's or its Sub-Users' breach of this Agreement or the Acceptable Use Policy; (b) Reseller's or its Sub-Users' violation of applicable law; or (c) any dispute between Reseller and its own Sub-Users or customers, to which Company is not a party.

13. Term & Termination

  • This Agreement applies for as long as Reseller uses the Reseller Program, and either party may end the relationship for convenience on thirty (30) days' written notice.
  • Company may suspend or terminate immediately, without notice, if Reseller breaches Section 7 (Acceptable Use), fails to remedy any other material breach within seven (7) days of notice, or if required by law or an upstream carrier/provider.
  • On termination for cause, Company may withhold or forfeit any remaining Buying Balance or Earned Balance associated with the breach. On termination for convenience, Company will return any unused, eligible Buying Balance per the Refund Policy.

14. General Provisions

  • Independent parties. Nothing here makes either party the employee, agent, or legal representative of the other.
  • Assignment. Reseller may not assign this Agreement without Company's prior written consent. Company may assign it in connection with a merger, acquisition, or sale of substantially all its assets.
  • Entire agreement. This page, together with the Acceptable Use Policy and Refund Policy incorporated by reference, is the entire agreement between the parties on this subject and supersedes prior discussions on it.
  • Amendments. Company may update this page, the Acceptable Use Policy, the Refund Policy, and wholesale pricing from time to time by posting an updated version and/or notifying Reseller; continued use of the Reseller Program after such notice constitutes acceptance.
  • Severability. If any provision is held unenforceable, the remaining provisions stay in full force.
  • Notices. Notices are sent to the email address on file for each party's account, or another address either party designates in writing.

15. Acceptance

By topping up a reseller Buying Balance, accepting a reseller invitation, or otherwise using reseller features on NumberOTP, you confirm that you have authority to bind your business to this Agreement and agree to be bound by it.
